Terms & Conditions
The rules that apply when you enquire, book or work with Webkinn. Written plainly, including the limits.
Last updated: · Version 1.0
The agreement
These Terms & Conditions (“Terms”) govern the use of webkinn.com and the website design, development, hosting and infrastructure-maintenance services provided by Webkinn (“Webkinn”, “we”, “us”). By submitting a project brief, accepting a quote, paying an invoice or using the services, you agree to these Terms.
If you do not agree, do not use the services. If you are agreeing on behalf of a business, you confirm that you are authorised to bind that business.
These Terms should be read with the Privacy Policy, Cookie Policy, Refund Policy and any written quote or project confirmation we send you. If a written quote conflicts with these Terms, the quote takes priority for that project.
Who we are
Webkinn is an online-only business based in the Philippines. We work with businesses worldwide. We do not operate a public office, a phone line or a support desk. Our contact address for all matters is webkinnemail@gmail.com.
Webkinn is the trading name used for these services. We provide the business details required by applicable law in invoices, written confirmations and on request from clients or regulators. We do not publish a street address because we do not receive visitors.
Business use and eligibility
The services are intended for businesses, organisations and professional users. They are not intended for consumers acting outside a trade, business, craft or profession. You must be at least 18 years old and legally able to enter a contract.
If you are a sole trader or small business and mandatory consumer law applies to you in your country, nothing in these Terms removes or limits rights you have under that law.
The services
Webkinn provides website design, development, hosting and infrastructure maintenance. The standard model works like this:
- We design and build the website without a separate design or development fee.
- You review the finished build before payment is due.
- You pay the full 12-month first-year hosting and infrastructure-maintenance plan before the site is launched.
- After the first year, you choose whether to renew monthly or yearly. We do not auto-charge.
The plan covers infrastructure maintenance only: hosting, SSL, CDN, backups, malware scanning and server monitoring, as available on the hosting plan we use. It does not include a help desk, content edits, design changes, new features, training, ongoing SEO, advertising, copywriting, photography or a response-time service level. Those may be quoted separately.
The standard build includes basic on-page SEO setup: page titles, meta descriptions, heading structure, image alt text, internal links, an XML sitemap, robots.txt and relevant structured data. It does not include ongoing SEO, backlinks, content marketing or ranking guarantees.
Hosting is provided through third-party infrastructure, currently Hostinger. Features depend on the plan and on the provider. We do not guarantee uninterrupted availability, a specific uptime percentage, or that a feature will remain available if the provider changes its plans.
Quotes, scope and changes
A form submission is an enquiry, not an order. We review the brief and, if the project is a fit, confirm the scope, price, number of pages and delivery window in writing. A contract is formed when you accept that written confirmation or when we begin work at your request.
A standard page is a page such as Home, About, Services or Contact. A page with significant custom functionality may count as more than one page or as custom work. The written quote controls. If the brief does not match what you later ask for, we will explain the difference and quote any extra work before doing it.
Work outside the agreed scope — including extra pages, e-commerce, booking systems, custom applications, integrations, copywriting, photography, translations, content migration and ongoing edits — is quoted separately. We are not obliged to accept work outside our capabilities.
Your responsibilities
To keep a project moving and to allow us to deliver safely, you agree to:
- Provide accurate business information, content, images, logos and brand assets in a usable format.
- Make sure you own or have permission to use everything you send us, and that it does not infringe copyright, trade-mark, privacy or other rights.
- Provide access to your domain or hosting account when needed, and keep your own backups of content and data you cannot afford to lose.
- Review the build and respond within a reasonable time. Delivery dates depend on your feedback and content.
- Ensure the site's content and your business practices comply with the law that applies to you, including consumer, advertising, accessibility, privacy and e-commerce rules.
- Do not send passwords, card numbers, government IDs or sensitive personal data through the forms or by email. Share files through a link and use a secure password manager for credentials.
- Do not ask us to publish unlawful, deceptive, hateful, infringing or malicious content.
The project process
The usual process is:
- You send a brief with the business details, goals, pages and domain status.
- We review the brief and confirm scope, price and delivery window in writing.
- We design and build the site.
- You review the build and we correct anything within the agreed scope.
- We send an invoice or secure payment link for the full 12-month first-year plan.
- When payment clears, we run final QA and deploy. The first year starts on the launch date shown in the written confirmation or invoice.
Payment is due before launch. We do not collect card data on this website and we do not store card numbers.
Fees, taxes and payment
Prices are in US dollars. Our published launch rates are $17.99/month for a one-page website and $34.99/month for two to nine pages. The first-year plan covers 12 months, so the total is $215.88 or $419.88, paid before launch. The standard monthly rates are $34.99 for one page and $54.99 for two to nine pages. Custom projects are quoted individually.
The 12-month first-year plan is a payment for hosting and infrastructure maintenance, not a separate build fee. Domain registration, domain renewal, applicable taxes, bank charges and currency-conversion costs are separate unless a written quote says otherwise. Taxes will be shown on your invoice where required.
Payment is made through the invoice or payment link we provide. The payment provider's terms apply to the transaction. You are responsible for paying the amount shown and for any fees charged by your bank or payment method.
If an invoice remains unpaid, we may pause work or delay launch. We will tell you before taking that step. We do not charge late-payment interest unless the law allows it and we have told you in writing.
Renewal
The first payment is the full 12-month first-year total and covers year one. Before that year ends, we will contact you with the renewal price and the option to renew monthly or yearly. You choose whether to renew. We do not auto-charge and we do not store a card for automatic renewal.
Renewal prices may change. We will show the price that applies before you pay. If you do not renew, hosting and maintenance end when the current term expires, and the site may be taken offline. We will give you a reasonable opportunity to renew and to request an export of content you supplied, where technically feasible.
Domain registration and renewal are separate. If we registered a domain on your behalf, we will try to register it in your name and tell you the renewal price and deadline. We are not responsible for a domain that expires because you did not renew it or did not respond to a renewal notice.
If your site uses a free subdomain under webkinn.com, that subdomain is licensed for use while your plan is active. It remains part of our domain, cannot be transferred to another provider, and may stop resolving when your plan ends. You can connect a domain you own at any time.
Cancellation and refunds
You can cancel before launch and receive a full refund of the first-year plan. After launch, the first-year plan is non-refundable except where the law requires otherwise. Domain registration fees are non-refundable once the domain has been registered. If we fail to deliver the agreed site, you receive a full refund.
The full rules, including how to request a refund and processing times, are in the Refund Policy. Nothing in these Terms limits a right you have under mandatory consumer law.
Intellectual property
Your material: you keep ownership of your business name, logo, text, images, data and other content you provide. You give us a licence to use, reproduce, modify and publish that material only as needed to deliver, host and maintain the site, and to publish a project in our portfolio if you have separately agreed.
What you receive: when the first-year plan is paid in full, you own the final content and the custom design elements created specifically for your project. We retain ownership of our pre-existing code, templates, tools, know-how and generic components. We grant you a perpetual, worldwide, non-exclusive licence to use those elements as part of the delivered site.
Third-party components, including fonts and open-source libraries, remain under their own licences. We will tell you about any material licence terms that affect how you can use the site.
Portfolio: we will ask before publishing your project. Permission must be given in writing. You can withdraw permission for future use at any time, but that does not require us to recall material already printed or shared.
Export and migration: if you want to move the site to another provider, ask us. We can provide an export of content you supplied and reasonable migration assistance. Migration work that goes beyond a simple export may be quoted separately.
Third-party services
We rely on third parties for hosting, form delivery, email, payments, domains and open-source software. Their services are subject to their own terms, availability and privacy practices. We are not responsible for outages, changes, price increases or acts of a third party that are outside our control.
If a third-party service changes in a way that materially affects your site, we will tell you and discuss reasonable options. We do not guarantee that a particular provider or feature will be available for the whole term.
Client data and privacy
If your website collects personal data from your customers, you are the data controller and Webkinn acts as your processor for the limited purpose of hosting, maintaining and delivering the site. You are responsible for having a lawful basis, publishing your own privacy notice, and only sending us data you are entitled to process.
We process that data only on your instructions, keep it confidential, and use service providers as subprocessors where needed. Those providers currently include Hostinger for hosting and Web3Forms for form delivery, where those services are used, plus our email provider. We apply reasonable technical and organisational safeguards. We will tell you without undue delay if we become aware of a personal data breach affecting data we process for you, and we will help you respond where reasonable.
When the service ends, we will delete or return data we hold for you on request, subject to legal retention requirements. If you need a written data processing agreement, email us before launch.
Availability and maintenance
We aim to keep hosted sites online and to perform maintenance without unnecessary disruption. We do not provide an uptime guarantee, a service-level agreement or a guaranteed response time. Hosting providers may perform scheduled or emergency maintenance.
The maintenance plan covers infrastructure tasks. It does not cover content changes, design changes, new features, email support, training or troubleshooting caused by third-party plugins, code you or another party add, or changes to the site made without our involvement.
You can report an outage or security issue by email. We will respond on a best-efforts basis. This is not a help desk and does not create a response-time obligation.
Acceptable use
You may not use the services to publish or distribute unlawful content, malware, phishing, fraud, spam, hate speech, harassment, non-consensual intimate material, or content that infringes another person's rights. You may not use the site to collect personal data unlawfully or to make deceptive claims.
We may suspend or terminate a project or hosting if we reasonably believe the site is being used in breach of this section, if we are required to do so by law, or if continuing would expose us, our providers or another person to harm. Where appropriate, we will give you notice and a chance to respond.
Limitation of liability
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
To the extent permitted by law, Webkinn is not liable for indirect, incidental, special or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of data, loss of goodwill, or business interruption. Our total liability arising from or connected with the services is limited to the fees you paid to us in the 12 months before the event giving rise to the claim.
We are not liable for loss caused by third-party providers, your content, your failure to provide accurate information or timely feedback, or changes you or another party make to the site. You are responsible for keeping backups of data you cannot afford to lose.
If mandatory consumer law gives you rights that cannot be limited, those rights prevail over this section.
Indemnity
To the extent permitted by law, you agree to indemnify Webkinn against reasonable losses, claims, damages and costs arising from content or materials you provide, your breach of these Terms, or your infringement of another person's rights. This does not apply to loss caused by our own negligence or breach.
Termination
You may cancel a project before launch and receive a refund under the Refund Policy. Either party may end the agreement if the other commits a material breach and does not fix it within a reasonable period after written notice, or if continuing is unlawful or unsafe.
If we end the agreement for your breach, we may retain payment for work already performed and for the period the site was hosted. If you end the agreement for our uncured breach, we will refund the unexpired portion of the current plan on a fair and reasonable basis, without limiting any refund right you have under law.
Sections that by their nature should survive termination — including intellectual property, payment obligations, liability, indemnity and governing law — continue to apply.
Consumer rights
The services are intended for businesses. If you are a consumer and mandatory consumer-protection law applies in your country, nothing in these Terms or the Refund Policy removes or limits your statutory rights, including any right to cancel within a statutory cooling-off period.
If you ask us to start work before the end of a cooling-off period, you may lose the right to cancel once the service has been fully performed, where the law allows that. We will not rely on a waiver that is not valid under the law that applies to you.
Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines. Subject to the next paragraph, the courts of the Philippines have exclusive jurisdiction over disputes.
If you are a consumer with mandatory local consumer rights, you may also bring a claim in the courts or before the consumer authority that the law gives you the right to use. Before starting formal proceedings, please email us so we can try to resolve the issue.
We will try to resolve complaints in good faith. Nothing in this section prevents either party from seeking urgent injunctive relief where necessary.
General
Entire agreement: these Terms, the policies linked above and any written quote form the entire agreement for the services. Anything discussed before the written confirmation does not override it unless we agree in writing.
Changes: we may update these Terms for future projects or legal reasons. The version in force when you accept a quote applies to that project. We will not make a material change apply retroactively without your agreement or a legal requirement.
Severability: if a provision is found invalid or unenforceable, the rest remains in effect and the invalid provision is replaced with a valid one that comes closest to its intent.
No waiver: a failure to enforce a provision is not a waiver of it.
Assignment: you may not assign the agreement without our written consent. We may assign it as part of a sale or reorganisation of the business, provided your rights are not materially reduced.
